1. Introduction
These Terms of Sale (“Terms”) govern all purchases of digital compliance templates and related toolkits (“Products”), including AML Spark and MTL FastTrack, sold by RayCor Consulting, LLC (“RayCor,” “Company,” “we,” “us,” or “our”). By purchasing any Product through our website or any authorized marketplace, you agree to be bound by these Terms. If you do not agree, you should not complete your purchase. These Terms comply with applicable consumer protection and payment processing laws for digital goods.

3. Payment Terms
Accepted Payment Methods: We accept payments by credit and debit card (Visa, MasterCard, Amex, Discover) as the default method at checkout. Digital wallets such as Apple Pay and Google Pay may also be available through Stripe or Adyen. ACH transfers and bank wires are available upon request for larger or institutional buyers.

Payment Processing & Security: Payments are processed securely through Stripe and Adyen. RayCor does not store your payment details. You agree to provide accurate billing information and authorize us to charge your selected payment method.

Chargebacks & Payment Disputes: Unauthorized or unfounded chargebacks will be contested. If you dispute a valid charge, RayCor may suspend or terminate your license to use the Product and take action to recover costs, including attorneys’ fees. Please contact us at info@raycorconsulting.com before filing a dispute.

Payment Clearance: If payment is made via bank transfer, wire transfer, or ACH, Products will not be delivered until funds have cleared. Processing times vary: ACH 3–5 business days; domestic wires 1–2 business days; international wires up to 5 business days. RayCor is not responsible for delays caused by the banking system or intermediaries.

4. Taxes
All fees are exclusive of applicable sales, use, VAT, or similar taxes. You are responsible for all such taxes related to your purchase, except for taxes based on RayCor’s income.

5. Delivery of Digital Products
Access & Delivery: Products are delivered electronically after payment confirmation. No physical goods will be shipped. Delivery is deemed complete once electronic access to the Product has been provided.

Access Issues: If you experience access issues, notify RayCor at info@raycorconsulting.com within 7 days. We will investigate and assist. Delivery delays caused by third-party platforms (e.g., Stripe, Adyen, Wix) are outside our control.

6. Refund Policy
All Sales Are Final. Due to the digital nature of the Products, all sales are final. Refunds are only available under the following limited circumstances: (i) you accidentally purchased multiple copies in a single transaction (request within 48 hours), (ii) you were charged incorrectly due to a processing error (request within 7 days), or (iii) you experience technical access issues that RayCor cannot resolve within 14 days. Requests must be submitted in writing to info@raycorconsulting.com with transaction details.

7. License & Usage Terms
Purchasing a Product grants you a limited, non-exclusive, non-transferable license to use the templates as outlined in the applicable Licensing Agreement. You may customize templates for your organization’s internal compliance but may not resell, sublicense, or distribute them to third parties. Any breach of the Licensing Agreement automatically terminates your rights under these Terms.

8. Updates
Purchase of Products is a one-time license. Updates to templates, regulatory guidance, or additional materials are not included in the initial purchase and must be separately purchased unless otherwise agreed in writing. This applies to AML Spark, MTL FastTrack, and any other Products unless explicitly stated otherwise at the time of sale.

9. Limitation of Liability
Products are provided “as is” and “as available,” without warranties of any kind. RayCor is not liable for regulatory outcomes, licensing denials, fines, penalties, business losses, lost profits, opportunity costs, or other damages arising from use or reliance on the Products. Purchase of a Product does not constitute legal advice, nor does it establish an attorney-client or consulting relationship with RayCor.

10. Indemnification
You agree to indemnify, defend, and hold harmless RayCor, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising out of or related to your misuse of the Products, violation of these Terms, or failure to comply with applicable laws or regulations.

11. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of New York.
Arbitration: Any dispute shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), held in New York, NY. The prevailing party in arbitration may recover reasonable attorneys’ fees and costs.
Class Action Waiver: All claims must be brought individually. You waive any right to participate in a class, collective, or representative action against RayCor.

12. Assignment
You may not assign or transfer these Terms, in whole or in part, without RayCor’s prior written consent. Any attempted assignment without consent is void.

13. Severability and Waiver
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by RayCor to enforce any provision shall not be deemed a waiver of future enforcement of that or any other provision.

14. Survival
Sections relating to License & Usage Terms, Limitation of Liability, Indemnification, Governing Law & Dispute Resolution, and Privacy & Data Use shall survive termination or expiration of these Terms.

15. Notices
All notices required under these Terms must be in writing and delivered to RayCor at info@raycorconsulting.com, with a copy to the mailing address listed above. Notices are deemed effective upon receipt by RayCor.

16. Entire Agreement
These Terms, together with the applicable Licensing Agreement, form the entire agreement regarding the purchase and use of the Products.

17. Privacy & Data Use
RayCor collects and processes customer information in accordance with its Privacy Policy. By purchasing a Product, you consent to our data practices, including sharing necessary payment and transaction information with Stripe, Adyen, Wix, or other processors.

18. Product-Specific Terms
AML Spark: The license is limited to use of compliance templates for internal organizational purposes. Purchase does not grant rights to use RayCor’s name, logo, or branding. Delivery is via instant digital download upon payment clearance.

MTL FastTrack: The license is limited to use of compliance templates for state money transmitter licensing and related compliance. Updates to templates, state-specific add-ons, or regulatory guidance are not included unless separately purchased. Delivery is deemed complete when RayCor provides electronic access.

19. Future Products
These Terms also apply to any future digital compliance toolkits, template packages, or related products offered by RayCor, unless otherwise stated at the time of sale. RayCor may publish product-specific riders or supplemental terms to address unique requirements of future offerings.
